As a Lead Associate in the Corporate and Project Finance Practice Group at Moira Mukuka Legal Practitioners, I specialize in advising multinational lenders, development finance institutions (DFIs), and funds on lending to corporate borrowers and developers for various capital requirements, including carbon projects and renewable energy. In my advisory role, I ensure that each financing aligns with the evolving Environmental, Social, and Governance (ESG) standards.

My responsibilities include negotiating, drafting, reviewing, and securitizing complex finance documents, such as syndicated loans, using diverse funding structures like bonds, note programs, and bilateral agreements.

Below is a list of transactions where I have either assisted or served as the lead:

Lead Associate for CEC Renewables Limited (as issuer) and Copperbelt Energy Corporation PLC (as sponsor) in establishing a USD 200 million Note Programme to finance a 200 MWp renewable energy plant in Zambia's Copperbelt Province.

Lead Associate for a syndicate of lenders, including Access Bank Zambia Limited and Zambia National Commercial Bank PLC, on a USD 138 million facility to ZESCO Limited, Zambia's largest electricity generator, supplier, and distributor, for repaying independent power producers (IPPs).

Lead Associate to First National Bank Limited on a syndicated facility of up to USD 10 million to Bayport Finance Limited, aimed at providing loans to various SMEs and small-scale borrowers.

• As an Associate at Corpus Legal Practitioners LP, my focus was on providing expert legal advice to clients in the banking and finance team, as well as in the energy, mining, and infrastructure team
• In my role, I was responsible for conducting due diligence exercises on various corporate borrowers in numerous sectors, negotiating and drafting various complex finance documents and structures.

• My role involved assisting senior lawyers in managing transactions, conducting legal research, drafting and reviewing documents, and liaising with clients and other stakeholders
• In the M&A practice, I was involved in due diligences, reviewing contracts, and assisting with negotiations
• In the banking and finance practice, I would assist with drafting and reviewing loan agreements, security documents, and other finance-related contracts
• In infrastructure and projects practice, I was involved in drafting and reviewing project agreements, conducting due diligence, and advising on regulatory matters
